- Pro Format Assessment Most offers are based on a pro forma that is developed by the buyer. The buyer’s pro forma may include adjustments that impact the purchase price. We review your financials to build a pro forma so that you can compare what is customary to what the buyer proposed.
- Market Value Comparison The market is always changing but we are on top of it due to our activity as an M&A advisor. We will break down your buyer’s offer to compare it to the rest of the market so that you can be informed of where you stand.
- Offer Terms Checklist One error commonly made when owners negotiate directly with a buyer is not addressing every material deal point upfront. We will run the offer through our checklist to make sure that nothing is omitted that could come back to bite you later.
- Earnout Feasibility Most offers include an earnout, which is a future payment based on performance of the agency after the deal closes. We will build a projection to help you assess the feasibility of achieving the earnout.

What is a second opinion review?
We review a Letter of Intent provided to you from a buyer of your insurance agency leveraging our insight having negotiated hundreds of Letters of Intent from agency buyers.
How long does the review process take?
We have a team of deal analysts and can typically turn around our SOS report within 10 days if you provide everything requested and are available for calls in a timely manner.
What does the service cost?
The SOS report costs $7,500, which is likely a fraction of the value from our market insight. If you choose to engage our team for transaction support, the cost is the greater of $25,000 or 1% of the sale price of your agency, paid at closing.
How is my agency's information kept confidential?
We will provide a signed confidentiality and non-disclosure agreement to you. As an M&A advisor, we regularly receive confidential information and maintain the highest level of confidentiality in serving clients.
Do you assist in negotiations if needed?
We can directly assist in offer negotiations if you hire us for transaction support.
What if I decide not to sell after the review?
The SOS report fee is non-refundable; however, we will credit the cost back to you if you hire us to represent you in a sale in the future.
